Platform Terms of Use

1. About these Terms

1.1 These Platform Terms of Use ("Terms") govern access to and use of the JQZ sales platform made available at app.jqzsales.com and any related applications, exports, documents and communications generated by it (together, the "Platform"), by any individual who holds or uses a Platform login ("you").

1.2 The Platform is operated by JQZ Group Pty Ltd ABN 73 152 499 673 and the JQZ group of companies ("JQZ", "we", "us" or "our"). The Platform uses software and hosting services supplied to JQZ by third-party service providers.

1.3 The Platform is made available to JQZ personnel and to the real estate agencies that JQZ appoints to market and sell its developments ("Appointed Agencies") and their sales agents. Where you access the Platform through an Appointed Agency, the agreement between JQZ and that agency ("Agency Agreement") also applies. If there is any inconsistency between these Terms and an Agency Agreement, the Agency Agreement prevails as between JQZ and that agency.

1.4 By accepting an invitation, creating a password, logging in or otherwise using the Platform, you agree to these Terms and acknowledge our Privacy Policy and Disclaimer, which forms part of these Terms. If you do not agree, do not use the Platform.

1.5 If you use the Platform on behalf of an Appointed Agency, you represent that you are authorised by that agency to do so and to bind yourself to these Terms.

2. Accounts and Access

2.1 Invitation only. Platform accounts are created by invitation from JQZ or from an administrator authorised by JQZ. You must provide accurate information when you register and keep it up to date.

2.2 Roles and scope. Your access is limited to the role assigned to you (for example, super administrator, administrator or agent) and to the developments and information assigned to you. You must not attempt to access data, functions or developments outside your assigned role or scope, whether or not the Platform technically permits it.

2.3 Credentials. You must keep your password confidential, must not share your account with any other person, and must notify us immediately at info@jqz.com.au if you become aware of any unauthorised use of your account. You are responsible for all activity under your account until you notify us.

2.4 Audit log. Activity on the Platform is recorded in an audit log together with your identity, the date and time and technical details such as IP address. The audit log may be reviewed by JQZ and, where you access the Platform through an Appointed Agency, by that agency, and may be used to investigate misuse or security incidents.

3. Permitted Use

3.1 You may use the Platform only for the purpose of marketing, selling and administering the JQZ developments assigned to you, in accordance with these Terms, any Agency Agreement and applicable law, including the laws governing real estate agents and property sales in the relevant State or Territory.

4. Project Information and Platform Data

4.1 All information on the Platform, including information about JQZ developments such as unit availability, pricing, floor plans, images, view studies and brochures ("Project Information"), and purchaser records, sales and deposit records and documents entered by any user (together with Project Information, "Platform Data"), is owned by JQZ or its licensors. Information you enter into the Platform becomes part of JQZ's records.

4.2 You are responsible for the accuracy and lawfulness of the information you enter into the Platform.

4.3 Project Information is indicative only. Prices and availability are published as at the time they are entered and may change without notice. Project Information does not constitute an offer, a representation or a warranty. Images, renders, floor plans and view studies are artist's impressions or indicative only, and dimensions, areas, finishes, fixtures, outlooks and views may differ in the completed development. Any sale is made solely on the terms of the contract for sale and the disclosure documents provided with it.

4.4 When presenting Project Information to a prospective purchaser you must make clear that it is indicative, is subject to change and is subject to the contract for sale, and you must not make any representation on JQZ's behalf beyond the Project Information as published on the Platform.

5. Privacy

5.1 Our Privacy Policy and Disclaimer describes how JQZ collects, uses, discloses and stores personal information, including personal information about purchasers that is entered into the Platform.

5.2 When entering personal information about purchasers or any other person, you must comply with the Privacy Act 1988 (Cth) and any other applicable privacy law, including giving that person any collection notice that JQZ or the law requires, and you must use that information only for the purpose in clause 3.1.

6. Intellectual Property

6.1 The Platform, including its software, design, databases and documentation, is owned by JQZ or its licensors and is protected by intellectual property laws. "JQZ" and the JQZ logo are trade marks of JQZ.

6.2 We grant you a limited, non-exclusive, non-transferable licence to use the Platform in accordance with these Terms for as long as your access is authorised. No other rights are granted.

6.3 If you provide us with feedback or suggestions about the Platform, we may use them without obligation to you.

7. Availability and Changes

7.1 We will use commercially reasonable efforts to keep the Platform available, but we do not guarantee that it will be available at all times or free from errors. Any service levels are set out in the Agency Agreement and not in these Terms.

7.2 We may suspend access for maintenance, security or operational reasons, and we may change or discontinue features of the Platform. We will give reasonable notice of material changes where practicable.

8. Suspension and Termination

8.1 We may suspend or terminate your access to the Platform immediately if: (a) you breach these Terms; (b) the Appointed Agency through which you have access requests it; (c) the relevant Agency Agreement ends, or your engagement with that agency ends; or (d) we reasonably consider it necessary to protect the security of the Platform, Platform Data or other users.

8.2 On termination your right to use the Platform ceases. Platform Data remains with JQZ and is handled in accordance with our Privacy Policy and Disclaimer.

9. Disclaimers and Liability

9.1 Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded, including under the Australian Consumer Law. To the extent permitted by law, our liability for breach of such a guarantee is limited, at our option, to the resupply of the relevant services or the payment of the cost of having them resupplied.

9.2 Subject to clause 9.1, the Platform is provided "as is". We do not warrant that the Platform will be error-free or uninterrupted, or that Project Information or other Platform Data is accurate, current or complete.

9.3 To the maximum extent permitted by law, we exclude all liability for any indirect or consequential loss, loss of profit, loss of business or opportunity, or loss or corruption of data, and for any loss arising from: (a) reliance on Project Information or Platform Data; (b) your breach of these Terms; or (c) the acts or omissions of any Appointed Agency or any other user of the Platform.

9.4 To the maximum extent permitted by law, and subject to clause 9.1, our total aggregate liability to you arising out of or in connection with the Platform or these Terms is limited to AUD 100.

9.5 You indemnify us against any loss, damage, cost or claim arising from your breach of these Terms or your unlawful use of the Platform.

10. General

10.1 These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that State.

10.2 We may update these Terms from time to time. We will publish the updated Terms on the Platform and, for material changes, notify you through the Platform. Your continued use of the Platform after an update constitutes acceptance of the updated Terms.

10.3 These Terms, together with the Privacy Policy and Disclaimer and, as between JQZ and an Appointed Agency, the Agency Agreement, constitute the entire agreement concerning your use of the Platform.

10.4 If any part of these Terms is invalid or unenforceable, that part is severed and the remainder continues in effect. You may not assign your rights under these Terms. We may assign our rights to a related body corporate or to a successor of our business.
